Company: YUGAVIN IT CONSULTING PRIVATE LIMITED

1. Scope of Services

We provide IT consulting services including but not limited to SAP implementation, enterprise software development, digital transformation strategy, and technical support. The exact scope will be defined in a separate Statement of Work (SOW) or project proposal.

2. Fees & Payment Terms

• Fees are based on the agreed hourly/daily/monthly/project rate.
• Invoices are issued as per the billing cycle defined in the agreement.
• Payments are due within 15 days of invoice date unless otherwise agreed.
• Late payments may incur a 1.5% monthly interest on the outstanding amount.

3. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the engagement. This obligation continues for 2 years after the termination of services.

4. Intellectual Property

• All deliverables created specifically for the client will become the client’s property upon full payment.
• Pre-existing tools, templates, or frameworks used by YUGAVIN remain our intellectual property.

5. Limitation of Liability

• YUGAVIN shall not be liable for indirect, incidental, or consequential damages.
• Our total liability shall not exceed the total fees paid for the specific project or engagement.

6. Project Timelines

• Timelines will be mutually agreed upon in writing.
• Delays caused by client-side dependencies or force majeure events may result in adjusted delivery dates.

7. Termination

• Either party may terminate the agreement with 15 days’ written notice.
• In case of breach, termination may be immediate.
• Upon termination, the client is liable to pay for all services rendered up to the termination date.

8. Change Requests

Any changes to the scope, timeline, or deliverables must be documented and approved by both parties through a formal change request process.

9. Governing Law

These terms are governed by the laws of India, and any disputes shall be subject to the jurisdiction of courts in Hyderabad, Telangana.
